Notwithstanding the provisions of section 11, a decision taken or a resolution passed by the Board shall not be invalid merely by reason of an irregularity in the appointment of a member to, or a vacancy in, the Board or the fact that any person not entitled to act as a member, participated as such at a meeting of the Board when such decision or resolution was taken or passed, if such decision was taken or such resolution was passed by a majority of the members present at the time and entitled so to act, and the members at the time constituted a quorum.
